Who these Terms apply to

These Terms apply to:

• Visitors and customers using nellgray.com.au and associated webpages; and

• Organisations engaging us for managed uniform programs (design, manufacture, distribution, and retail).

Program‑specific agreements (e.g., supply contracts, service schedules, school shop agreements) prevail over these Terms to the extent of any inconsistency.

Using our websites

You agree to use our sites lawfully, not to disrupt their operation, and not to copy or exploit content without permission. We may suspend or restrict access for maintenance, upgrades, or security.

Accounts & security

Some services (e.g., organisation portals, school shop logins) require an account. You are responsible for keeping login credentials secure and for all activity under your account. Contact us promptly if you suspect unauthorised access.

Returns, exchanges & warranties

• Nothing in these Terms limits your rights under the ACL. If goods are faulty, not of acceptable quality, or don’t match description, you are entitled to a repair, replacement or refund as required by law.

Title, PPSA & security interests (B2B)

For business accounts, title to goods remains with Nell Gray until full payment is received. You grant us a security interest in the goods and proceeds to secure payment and agree we may register that interest under the Personal Property Securities Act 2009 (Cth) (PPSA). You must not grant conflicting security interests in the goods while title remains with us.

Intellectual property

All website content, designs, patterns, brand names and logos (including NELL GRAY, UNIFORM CONCEPTS, DEVON CLOTHING and JENNIFER FRANKLIN ENTERPRISES) are our intellectual property or used under licence. You must not reproduce or use our IP without written permission. You warrant you have rights to any third‑party marks/artwork you instruct us to apply to garments.

Third‑party links & tools

Our websites may link to third‑party sites or tools (e.g., payment gateways). We’re not responsible for their content or practices. Use of third‑party services is at your discretion and subject to their terms and policies.

Privacy & cookies

We handle personal information in accordance with our Privacy Policy, which explains what we collect, why, and how we protect it, and lists our contact details and store locations. By using our services, you consent to our privacy practices described there. 

Limitation of liability

To the maximum extent permitted by law (and without limiting your ACL rights), we exclude liability for indirect, incidental or consequential loss, loss of profit, revenue or data, and business interruption. Where our liability cannot be excluded, it is limited (at our option) to replacement, repair or resupply of goods or the cost of doing so.

Indemnity

You indemnify us and our personnel against losses arising from your breach of these Terms, misuse of our sites, or infringement of third‑party rights (including IP you supply for customisation).

Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control (including natural disasters, epidemics, labour shortages, transport disruptions, government actions, or supply chain interruptions). We will take reasonable steps to mitigate the impact and resume performance as soon as practicable.

Governing law & disputes

These Terms are governed by the state laws of Western Australia, and by federal law of Australia. You submit to the exclusive jurisdiction of the courts of Western Australia.
